Terms and conditions of sale and of service applying to VPS, professional email and domain names

Wayhost is a brand operated by ITNET TECHNOLOGIES. These terms and conditions of sale and of service (the "Terms") govern orders placed on wayhost.cloud, panel.wayhost.cloud or accepted by any other written means. They apply to both consumer and business customers, subject to the mandatory provisions applicable to their status.
Placing an order constitutes acceptance of these Terms in the version made available to the Customer before the order was confirmed. The features, resources, prices, term and options set out in the order summary or in the accepted quotation supplement these Terms.
"Customer" means the individual or legal entity ordering a Service. "Consumer" means a Customer acting for purposes outside their trade or profession. "Business Customer" means any other Customer. "Account" means the secure customer area. "Service" means in particular a VPS, a professional email service, a domain name, a DNS service or an associated option.
The offers actually marketed are those accessible and orderable at the time of the order. Pages presenting services that are unavailable, forthcoming or available on quotation only do not constitute a binding offer.
Before paying, the Customer may review the details of their order, its total price including all taxes, its billing frequency and its term, and correct any errors. The contract is formed when the Customer confirms an order carrying an obligation to pay and receives a confirmation on a durable medium, subject to acceptance of the payment and to security or fraud checks.
The Customer shall provide accurate, complete and up-to-date information. ITNET TECHNOLOGIES may request the supporting documents strictly necessary to verify identity, address, means of payment or intended use. An order that is manifestly fraudulent, unlawful or technically impossible may be refused or cancelled; any sums collected for a service not performed are then refunded.
Quotations and special conditions prevail over these Terms as regards their specific provisions. An order becomes final only once the quotation has been accepted within its validity period and, where applicable, the agreed deposit has been paid.
The applicable prices are those shown in the final order summary. In the consumer journey they are shown inclusive of all taxes. Where prices excluding tax are also shown, the applicable VAT is added at the rate in force. For Business Customers, the amount excluding VAT, the VAT and the amount including VAT appear on the invoice.
Payment falls due according to the billing frequency chosen (monthly, annual or any other clearly stated term). Online payments may be processed by Stripe; ITNET TECHNOLOGIES remains the seller of the Service and issues the invoice. Any exchange or banking fees charged by the Customer's bank remain payable by the Customer.
Any price change applies to new orders. For a recurring Service, the Customer is informed of the new price before the next renewal and may disable renewal or terminate before it applies, without prejudice to any firm commitment already entered into.
For a Business Customer, any sum unpaid on its due date shall automatically and without reminder bear interest at the most recent European Central Bank refinancing rate plus ten points, which may not be lower than three times the statutory interest rate. A fixed indemnity of €40 for recovery costs is also due, without prejudice to any further justified costs.
The activation time stated in the offer runs from validation of the payment and, where necessary, from receipt of the technical information or supporting documents requested. The stated time is indicative for orders requiring manual intervention, a scarce resource, a migration or validation by a domain name registry.
Credentials are personal and confidential. The Customer shall use a strong password, enable the protections offered and inform support without delay of any compromise. ITNET TECHNOLOGIES remains responsible for its own security obligations; the Customer is not held liable for any use resulting from a failure attributable to ITNET TECHNOLOGIES.
The Customer has the resources described in their order and administers their own system, software, access and data, unless a managed services option has been expressly subscribed to. They are responsible for updating their components and for keeping external backup copies. Any snapshots or backups offered do not replace an independent backup strategy, unless otherwise agreed in writing.
Resources may be increased subject to technical availability and the price in force. A reduction may require a migration and is possible only if actual usage allows it. No change is deemed instantaneous unless expressly stated in the ordering journey.
The email Service includes the mailboxes, quotas and features described in the order. The Customer shall comply with anti-spam rules, protect their credentials and configure their domains correctly. Deliverability also depends on external factors (IP address reputation, recipients' policies, DNS and message content) and therefore cannot be guaranteed absolutely.
Domain names are registered or transferred through the registrar NETIM and remain subject to the rules of the registry and of the extension concerned. Availability shown before validation is not guaranteed until the registration is confirmed by the registry. The Customer shall provide accurate registration data and respect third-party rights.
The Customer remains the holder of the domain name registered in their name, subject to payment and to the registry's rules. It is their responsibility to keep their contact details up to date and to monitor renewal dates. Registry fees actually incurred for a completed registration, transfer or renewal are non-refundable, subject to the Consumer's mandatory rights.
The initial term is the one shown at the time of the order. Automatic renewal applies only where it is clearly indicated before the order and enabled in the Account. In that case, the Service is renewed for the stated billing period unless it is disabled from the Account before the due date, or a request is sent to support within the period stated in the order summary.
Disabling renewal does not interrupt the period already paid for. If the Service is not renewed, it may be suspended and then deleted once the period notified to the Customer has elapsed. The Customer must export their data before expiry.
The Customer shall use the Services in accordance with the law, with third-party rights and with their intended purpose. The following are prohibited in particular:
In the event of an emergency, a security risk, a valid official request or a serious breach, ITNET TECHNOLOGIES may take a proportionate measure, including filtering, isolating or temporarily suspending the Service. Save in an emergency or where prohibited by law, the Customer is informed of the reason and given a reasonable period to remedy the breach.
ITNET TECHNOLOGIES uses reasonable endeavours to ensure the continuity, security and performance of the Services. Unless a service level agreement ("SLA") is expressly included in the offer or the quotation, no specific availability percentage is guaranteed.
Planned maintenance is announced in advance where possible. Urgent work required for security or stability may be carried out without notice. Support is available by ticket from the Account or by email at contact@itnet-technologies.com. Marketing references to 24/7 support refer to the receipt and handling of incidents according to their priority; they do not constitute an undertaking of immediate resolution unless a written SLA applies.
The Consumer has fourteen (14) days from the conclusion of the contract to exercise their right of withdrawal, without having to give reasons. They may use the form set out in the appendix or send any unambiguous statement to contact@itnet-technologies.com or to the registered office address.
Where the Consumer expressly requests activation of the Service before the withdrawal period expires, they remain liable, if they withdraw, for an amount proportionate to the Service supplied up to the point at which they communicated their decision. If the Service has been fully performed before the period expires, the right of withdrawal is lost only after the Consumer's prior express agreement, a request for immediate performance and acknowledgement of the loss of that right once the service has been fully performed.
Any refund due is made no later than fourteen days after receipt of the withdrawal decision, using the same means of payment unless another means at no cost is expressly agreed. These statutory rules are separate from any more favourable "satisfaction or your money back" commercial guarantee that may be offered.
For an eligible first subscription, ITNET TECHNOLOGIES grants a fourteen-day commercial guarantee from the effective activation of the Service, on the terms of the Refund Policy published on wayhost.cloud. This guarantee does not reduce the Consumer's statutory right of withdrawal.
Unless mandatory law provides otherwise, domain names, activated third-party licences, bespoke services and portions of the Service already consumed are not covered by this commercial guarantee. Any deduction corresponds to a cost actually incurred or to a Service performed and clearly stated before the order.
The Customer may terminate a Service with no further commitment from their Account or by contacting support. A period already paid for remains due until its end, except where the statutory right of withdrawal, an applicable commercial guarantee, a breach by ITNET TECHNOLOGIES or a more favourable specific provision applies.
In the event of non-payment or breach, ITNET TECHNOLOGIES may suspend and then terminate the Service after a formal notice has remained without effect for a reasonable period stated in that notice. Immediate suspension remains possible in the event of a security emergency, manifestly unlawful activity or serious risk to the infrastructure.
After expiry or termination, data may be deleted once a period of thirty (30) days has elapsed, unless a different period is stated in the offer, a legal retention obligation applies or security requires otherwise. The Customer remains responsible for exporting their data beforehand. ITNET TECHNOLOGIES may offer migration assistance against a quotation.
Each party is liable for direct damage resulting from its proven breaches. ITNET TECHNOLOGIES is not liable for malfunctions attributable to the Customer, to third-party software or services chosen by the Customer, to the internet, to a misconfiguration under the Customer's control, or to an event of force majeure.
As regards a Consumer, nothing in these Terms excludes or limits any right or liability that cannot lawfully be excluded or limited. Liability is assessed in accordance with general law and the mandatory provisions of the French Consumer Code.
As regards a Business Customer, except in cases of gross negligence, wilful misconduct, personal injury, breach of confidentiality or liability that cannot be limited, ITNET TECHNOLOGIES shall not be liable for indirect damage such as loss of revenue, margin, customers or reputation. Its aggregate liability is limited to the amount excluding VAT paid for the Service concerned during the twelve months preceding the triggering event.
Neither party is liable for a failure caused by an event beyond its reasonable control and meeting the conditions of force majeure under French law. The affected party shall inform the other party as soon as possible and limit the effects of the event. If the impediment continues beyond thirty days and lastingly deprives the contract of its purpose, either party may terminate the Service concerned without penalty for the future.
ITNET TECHNOLOGIES processes the data required to manage accounts, orders, payments, invoices, support, security and legal obligations in accordance with its Privacy Policy. Requests relating to personal data may be sent to contact@itnet-technologies.com.
Data entrusted to the Wayhost hosting infrastructure is hosted in the European Union or the European Economic Area, in particular in France and Finland, depending on the location of the Service ordered. The exact location or the available options are specified in the offer or in the Account.
Where the Customer determines the purposes and means of processing hosted personal data and ITNET TECHNOLOGIES acts as a processor, the parties are also bound by a data processing agreement compliant with Article 28 of the GDPR, made available on request or incorporated into the special conditions. The Customer remains responsible for the lawfulness of the data and processing entrusted to the Service.
Each party shall protect the confidential information received from the other and use it only to perform the contract, except for information that is public, already lawfully known, or whose disclosure is required by law.
The Customer retains all rights in their content and data. They grant ITNET TECHNOLOGIES the technical rights strictly necessary to host, transmit, back up and secure the Service. Wayhost software, trade marks, interfaces, documentation and materials remain the property of ITNET TECHNOLOGIES or of their respective owners.
Order confirmations, invoices, technical logs and correspondence kept under conditions guaranteeing their integrity constitute evidence, without depriving the Customer of the possibility of providing evidence to the contrary.
Notices relating to the contract are sent to the contact details held in the Account. The Customer shall keep them up to date. The Terms applicable to an order are those accepted when it was concluded. Any substantial change affecting a recurring Service is notified before it takes effect; the Customer may terminate before the effective date if the change is unfavourable to them and is not required by law, by security or by a proportionate technical necessity.
Any complaint must first be sent to support from the Account or to contact@itnet-technologies.com, together with the information needed to handle it. ITNET TECHNOLOGIES seeks an amicable solution.
The Consumer has the right to use a consumer mediator free of charge after a prior written complaint has remained unresolved. ITNET TECHNOLOGIES is in the process of joining a mediation scheme; the contact details of the competent mediator and the address of its website will be published on wayhost.cloud and incorporated into these Terms as soon as the agreement takes effect. This transitional statement does not replace the legal obligation to appoint a mediator.
These Terms are governed by French law. The Consumer may bring proceedings before the courts having jurisdiction under the applicable statutory rules. Any dispute between Business Customers falls, after an attempt at amicable resolution, within the exclusive jurisdiction of the Versailles Commercial Court, including where there are several defendants or a third-party claim.
